We will require your goodself to provide us with the necessary information for incorporating a new company:
- Chinese and/or English name of all directors and their addresses
- Every company must send to the Registrar a return containing particulars of its first directors within 14 days of their appointments. And under section 153(1) of the Companies Ordinance, every company shall have at least one director, a director may be an individual or a body corporate
- Copy of the appointing director's Hong Kong identity card or in the case of a body corporate, copy of the company's Certificate of Incorporation
- Chinese and English name of all the shareholders and their addresses
- Every company shall have at least one member/shareholder, a shareholder may be an individual or a body corporate
- Copy of the appointing shareholder's Hong Kong identity card or in the case of a body corporate, copy of the company's Certificate of Incorporation
- Chinese and English name of the company secretary and their addresses
- Under section 154 of the Companies Ordinance, every limited company shall have a company secretary, the company secretary may be an individual or a body corporate who is a permanent resident of Hong Kong or has a registered office or a place of business in Hong Kong
- Copy of the company secretary's Hong Kong identity card or in the case of a body corporate, copy of the company's Certificate of Incorporation
- Every company must give to the Registrar a notice of the situation of its registered office within 28 days of its date of incorporation
- The proposed registered office address of the company
- The description of proposed nature of business should clearly be stated and be negotiated with the relevant parties (C.R. & I.R.D.)
- The proposed number of authorized capital and shares issued
- Under the Companies Ordinance, every company shall one shareholder, thus the minimum share issued should be at least one
